These Terms and Conditions govern the access to and use of services provided by SupplyNext, including but not limited to prep center services, inventory management, sourcing coordination, logistics support, and subscription-based operational tools. By accessing or using SupplyNext services, the client acknowledges, understands, and agrees to be legally bound by these Terms.
SupplyNext operates as a service-plus-subscription platform designed to support eCommerce sellers through operational infrastructure, logistics coordination, inventory handling, and data visibility tools. SupplyNext does not function as a marketplace, broker, reseller, investment advisor, or revenue guarantor.
The services may include physical services such as receiving, preparation, labeling, storage coordination, and shipment facilitation, as well as digital access to dashboards, reports, and operational data. Certain services rely on third-party carriers, warehouses, suppliers, and platforms, which operate independently of SupplyNext.
Key clarifications:
SupplyNext provides operational execution and coordination, not business profitability assurance.
SupplyNext does not guarantee sales, rankings, margins, supplier availability, or delivery timelines beyond reasonable best efforts.
Subscription tools are provided "as-is" for visibility and management purposes only.
Services may evolve, be modified, paused, or discontinued without obligation to maintain legacy features.
The client agrees that SupplyNext's role is limited to operational support, and all business decisions, compliance obligations, and financial outcomes remain the sole responsibility of the client.
Clients are solely responsible for ensuring that their products, inventory, and business operations comply with all applicable laws, platform rules, import/export regulations, tax requirements, and industry standards.
The client represents and warrants that:
All products are legally sourced, owned, and authorized for sale
No counterfeit, restricted, hazardous, or prohibited items are submitted
All labeling, packaging, and compliance documentation is accurate
Platform policies (Amazon, Walmart, Shopify, etc.) are fully adhered to
SupplyNext reserves the right to:
Refuse, pause, or terminate services for non-compliant inventory
Dispose of, return, or isolate inventory that poses legal or operational risk
Cooperate with law enforcement or regulatory authorities when required
SupplyNext shall not be liable for:
Account suspensions or platform penalties
Customs seizures or regulatory actions
Financial losses resulting from client non-compliance
The client agrees to indemnify and hold SupplyNext harmless from any claims, penalties, or damages arising from violations caused by the client's products or business practices.
All fees for services and subscriptions are disclosed prior to activation and are due according to the agreed billing schedule. Fees are non-refundable unless explicitly stated in writing.
Important payment terms:
Subscription fees cover system access, infrastructure, and operational readiness
Service fees reflect labor, handling, coordination, and administrative overhead
One-time and recurring fees are billed independently
Failure to pay may result in immediate service suspension
Refund policy:
No refunds for partially rendered services
No refunds due to platform changes, supplier issues, or market conditions
No refunds for unused subscription periods
Chargebacks and disputes:
Unauthorized chargebacks constitute a breach of contract
SupplyNext reserves the right to recover dispute costs, legal fees, and penalties
Repeated chargebacks may result in account termination
SupplyNext maintains strict financial controls and reserves the right to revise pricing with notice.
SupplyNext provides services on a commercially reasonable, best-effort basis and makes no warranties, express or implied, regarding outcomes, performance, or profitability.
To the maximum extent permitted by law:
SupplyNext is not liable for indirect, incidental, or consequential damages
Liability is capped at the fees paid in the preceding 30 days
No liability for delays caused by third parties or force majeure events
No liability for data discrepancies, carrier delays, or inventory damage beyond reasonable control
Services are provided "as-is" and "as available" without guarantees of uninterrupted operation.
The client expressly agrees that use of SupplyNext services is at their own risk.
SupplyNext reserves full discretion to suspend or terminate services without liability in cases including but not limited to:
Policy violations
Non-payment
Fraud, misrepresentation, or abuse
Legal or compliance risk exposure
Upon termination:
Outstanding fees remain due
Inventory handling fees may apply
Data access may be revoked
No obligation to store or maintain inventory beyond reasonable notice
SupplyNext may retain records as required for compliance and legal purposes.
SupplyNext collects and processes operational data strictly for service delivery, compliance, and account management purposes.
Key principles:
No data resale or unauthorized sharing
Limited access based on operational necessity
Industry-standard security practices applied
Data visibility does not equal data ownership transfer
Clients remain responsible for the accuracy of submitted data.

Marketing promotions
Sales campaigns
Broadcast messages
Third-party offers
All messages are directly related to an existing business relationship.
Clients provide explicit consent to receive SMS communications during onboarding, service enrollment, or support interaction.
Consent principles:
No purchased or third-party lists
No unsolicited messaging
Consent is specific to SupplyNext communications only
Consent can be revoked at any time
Recipients may opt out at any time by replying:

Upon opt-out:
Messaging will immediately cease
No further SMS will be sent unless re-consented
